COLORADO ELEMENTARY ALL-STATE CHOIR BYLAWS

ARTICLE I – NAME AND AFFILIATION

Section 1: The name of this governing board is “Colorado Elementary All-State Choir Board,” hereinafter also designated as the “CEASC Board”.

Section 2: The Colorado Elementary All-State Choir is an ex-officio committee of the Colorado Music Educators Association.

ARTICLE II – PURPOSE

The purpose of the Colorado Elementary All-State Choir Board shall be to conduct the affairs and make decisions associated with the Colorado Elementary All-State Choir, with the approval of the CMEA Board. The CEASC Board shall also work to promote and improve the Colorado Elementary All-State Choir experience.

ARTICLE III – GOVERNANCE

CEASC Board – The activities and affairs of the CEASC Board shall be conducted subject to provisions of these bylaws. All CEASC Board powers shall be exercised by or under the direction of the CMEA Board of Directors. The CEASC Board shall be the general policy-making body for Colorado Elementary All-State Choir and shall be responsible for the budget and all business affairs associated with the Colorado Elementary All-State Choir.

ARTICLE IV CEASC BOARD OF DIRECTORS

Section 1: Membership – Membership of the CEASC Board will consist of the

  • Chair
  • Chair-Elect
  • Immediate Past CEASC Chair
  • Secretary
  • Treasurer
  • Performance-Site Coordinator
  • Regional Representatives:
    • 8 CMEA General Music District Representatives (or designated person within the appropriate CMEA District)
  • ROCKE
  • ORFF – ROCKY MOUNTAIN Representative
  • ORFF – ROCKY MOUNTAIN WEST Representative
  • COLORADO ACDA Representative (American Choral Directors Assoc.)

Section 2: The voting members shall consist of the Executive Committee of the CEASC Board:

  • Chair
  • Chair-Elect
  • Immediate Past Chair
  • Secretary
  • Treasurer
  • Performance-Site Coordinator

This Executive Committee shall have the power to act for the CEASC Board in an emergency or between meetings of the CEASC Board in accordance with directions established by the CEASC Board. All actions of the Executive Committee shall be reported to the CEASC Board by the CEASC Secretary.

Section 3: The CEASC Chair shall supervise and facilitate the affairs of the CEASC Board and the activities of its members. The Chair shall preside at all CEASC meetings and be an ex-officio member of the CMEA General Music Council.

Section 4: All powers, duties, and responsibilities of CEASC Board members shall be set forth in job descriptions written by the CEASC Board of Directors.

Section 5: The CEASC Board shall have the power to create and eliminate standing committees as needed to accomplish its duties. The chairs of these standing committees shall report regularly to the CEASC Board. Membership of the standing committees shall be designated by the CEASC Board.

Section 6: The CEASC Board shall have the power to create and eliminate ex-officio positions as needed to assist with functions of the CEASC Board. Appointment to these positions shall be made by the CEASC Chair and approved by the CEASC Board. Ex-officio members may be asked to attend regular CEASC Board meetings in a non-voting, advisory capacity.

Section 7: The CEASC Board shall hold at least four regular meetings per year. The Chair shall provide at least ten days written electronic notice to the most recent email address on record for all members. The Chair may call a special meeting at any time upon ten days written notice delivered as above noted.

Section 8: A quorum of any meeting of the full CEASC Board shall be a majority of its members.

ARTICLE V – ELGIBILITY. TERM. AND APPOINTMENT

Section 1: All persons seeking appointment to the CEASC Board shall be active or retired members of Colorado Music Educators Association.

Section 2: The term of office for each CEASC Board member is as follows:

  • Chair – 2 years
  • Chair-Elect – 2 years
  • Immediate Past Chair – 2 years
  • Secretary – 3 years
  • Treasurer – 3 years
  • Performance Site Coordinator – 3 years
  • CMEA District Representatives (already set in 2-year increments)

Section 3: Term of office begins on February 1 following CEASC Board approval. Both newly-elected and outgoing members shall attend the spring meeting.

Section 4: CMEA members interested in CEASC Board membership may submit a letter of interest for serving on the CEASC Board. The CEASC Board will approve nominations for chair-elect to be published on the CMEA ballot. The CEASC Board will seek and appoint interested parties for all other open positions.

ARTICLE VI – PARLIAMENTARY AUTHORITY

Robert’s Rules of Order Newly Revised shall govern all meetings of the CEASC Board.

ARTICLE VII – ADMINISTRATION

The fiscal year for Colorado Elementary All State Choir shall be the same as the fiscal year for Colorado Music Educators Association (July 1 through June 30).

The CEASC Board may, by resolution, authorize any officer or agent of the CEASC Board to enter into any contract or execute and deliver any instrument in the name of and/ or on behalf of the CEASC Board ONLY with the approval of the CMEA State Operations Director.

Such authority may be “general” or confined to “specific instances”. Unless so authorized, no officer, agent, or employee shall have any power or authority to bind the CEASC Board by contract or engagement or to pledge its credit and/or to render it liable monetarily for any purpose or in any amount.

All monetary submissions shall be submitted, by the CEASC Treasurer, to the Colorado Music Educators Association State Operations Director within 10 days of the CEASC submission deadline. All deposits shall be accounted for by both the CEASC Board Treasurer and the CMEA State Operations Director.

It is understood that Colorado Elementary All-State Choir funding comes from participants in CEASC.  Funds shall be used solely to enhance CEASC activities unless approved by the CEASC Board.

ARTICLE VIII

These bylaws may be amended by no less than a two-thirds vote of the CEASC Board present at meetings and ratification by the CMEA Board. Notice of such proposed amendments must be made known to CEASC Board members not less than thirty days prior to the voting.
